Introduction

These terms apply when you use Skedy's payment processing services.

By using any payment tools or financial services provided by Skedy, you agree to:

  • Follow our General Terms of Service
  • Accept these Payment Terms
  • Comply with any other policies related to the use of Skedy's services

Important: If you're using payment tools on behalf of a business, you confirm you have permission to accept these terms for that business.

Our Payment Services are intended for use only by businesses registered in Georgia or the countries where we operate, unless we state otherwise.

Please also refer to our Privacy Policy to understand how your financial information is used and protected.

1. Payment Services

1.1. Our Role in Payments

Skedy helps you accept payments from your customers, including credit, debit and prepaid card. We're not a bank—we work with third-party payment providers, card networks (like Visa, MasterCard, American Express, and Discover), and banks to process payments securely.

You don't have to accept all card types, but Skedy may update the supported card brands at any time.

High Volume Processing: If your business processes a high volume of payments, card networks may require you to sign a direct agreement (called a "Commercial Entity Agreement") with them or with our partner banks. If this applies to you, we'll let you know. Not signing such agreements may lead to a pause or closure of your Skedy account.

Skedy may also act as your agent for specific card payments (like American Express), but only if required—and you’ll be notified in that case.

1.2. Payment Handling and Recovery Authorization

By using Skedy's payment system, you allow us to act as your payment agent. This means we can receive payments from your customers on your behalf and then send the money to you—after subtracting any fees or required deductions.

Once Skedy receives payment from a consumer, the payment is considered complete from their side. We'll transfer the remaining balance (called "Proceeds") to your account.

You also give Skedy the right to collect or recover any funds you owe us. This includes fees, refunds, chargebacks, or any other amounts under our terms. We may recover these funds by charging:

  • Your saved payment method
  • Your connected Skedy account
  • Any linked bank account

If we can’t collect the funds automatically, you agree to provide new authorization or payment details so we can collect what’s due. These permissions are legally binding and follow local banking and payment network rules.

2. Unsupported Business Types

To comply with legal, banking, and card brand rules, certain businesses and activitiescannot use Skedy's payment services. Even if the services are not used directly for these activities, businesses involved in any of the following will be disqualified from using Skedy Payments:

Prohibited categories include:

  • Illegal products or services
  • Items that can be used for illegal purposes
  • Multi-level marketing or pyramid schemes
  • Gambling, betting, or lottery services
  • Prepaid phone cards, money orders, or foreign currency exchange
  • Pharmaceutical sales without in-person consultation or re-imported drugs
  • Subscription or direct marketing services with unclear or recurring charges
  • Adult content or escort services
  • Weapons, ammunition, or items designed to cause harm
  • Hate-promoting or harmful content
  • Age-restricted products sold online (e.g., tobacco)
  • Political fundraising or donations (unless explicitly authorized)
  • Government entities or certain non-profits doing business in California
  • High-risk financial services like credit repair, debt collection, or bankruptcy law
  • Selling any physical goods while using Skedy payments to avoid taxes

We also reserve the right to decline or suspend payment access for any activity that may pose financial, legal, or reputational risk to Skedy.

3. Fees

Skedy charges fees for payments made through the platform. These fees may vary based on the payment method used and are subject to change. Up-to-date details will always be available in your Skedy account dashboard.

  • Consumers are charged a 4% service fee based on the invoice amount, plus any additional transaction processing fees (e.g. card or bank fees).
  • Providers receive the payment amount minus applicable Skedy service and processing fees.
  • You may see booking or processing fees added at checkout, depending on how the payment is handled.

All fees are shown before completing payment, and Skedy may update fee terms from time to time with prior notice.

3.1. Processing Errors

We do our best to ensure payments are processed accurately. If there's an error that causes you to receive less than you should, we will credit the missing amount to your account.

If you receive more than you should due to an error, Skedy may recover the extra funds from you.

Important: Please report any payment errors within 30 daysof seeing them in your account. If not reported in time, you may lose the right to dispute the error.

4. Identity Verification and Eligibility

When you sign up to use Skedy's payment features, we may ask you for information to verify your identity. This can include checking public records or getting a report with your name and address.

By using Skedy, you allow us to share your application details and account status with our payment partners (like banks or financial institutions) as described in our Privacy Policy. Based on this information, we or our partners may decide whether you're eligible to use Skedy's payment services.

4.1. Additional Information and Business Verification

To keep the Skedy platform safe and compliant, we may ask for more information about you or your business at any time. This can include things like:

  • A valid ID (e.g., passport or driver's license)
  • Business license or proof of services
  • Invoices or documentation related to your services

In some cases, we may also request to verify your business location.

Warning: If you choose not to provide the requested information or deny a verification request, your Skedy account may be suspended or closed.

5. Payout Schedule

Skedy offers flexible payout options for Providers, but only for invoices that have already been paid by consumers. Payouts can be requested or scheduled using the following methods:

  • On-demand payouts — Providers can manually request a payout for completed (paid) invoices at any time. Additional fees may apply.
  • Auto payouts — Payouts can be triggered automatically once a customer payment is received. Additional fees may apply.
  • Scheduled payouts — Providers can choose from two scheduled payout options:
    • Monthly payout — Processed on the last working day of each month.
    • Bi-monthly payout — Processed twice per month: on the 15th (or next working day if the 15th is a weekend or holiday) and the last working day of the month.

Payouts are initiated on weekdays before 3:00 PM Georgian time. Once processed, funds are typically credited to the Provider's linked account on the next working day, depending on the payment partner. You can manage your payout preferences in your Skedy account settings.

5.1. Availability of Payout

There may be situations where your access to payouts is temporarily limited. These include:

  • If your account is under review or investigation
  • If there is an unresolved dispute with a consumer
  • If required by law, a court order, or a request from a government authority

In such cases, Skedy may delay or restrict access to your payout until the issue is resolved.

5.2. Skedy Account History

Your Skedy account keeps a record of all payment activity. You can view your transaction history and monthly summaries in your account dashboard for up to one year.

  • Each payment processed will be logged and a confirmation will be provided as your receipt.
  • It’s your responsibility to keep your own permanent records and regularly check your account for accuracy.
  • If you notice any errors or unauthorized activity, please contact us immediately.

6. Reserve for Holding Funds

To protect against potential risks (like refunds, disputes, or fraud), Skedy may hold a portion of your funds in a reserve account ("Reserve").

  • The Reserve may be required if there is a higher risk linked to your activity or payment history.
  • Skedy decides the reserve amount based on risk factors and may increase, reduce, or remove it at any time.
  • If the Reserve is too low, Skedy may add funds from:
    • your future payouts,
    • any linked payment method, or
    • your Skedy account balance.

You agree that Skedy can use the Reserve to cover any money you owe, and you allow us to access those funds without prior notice. You may also be asked to provide documents to help us secure these rights.

6.1. Skedy Account Balances

Skedy holds provider funds in pooled bank accounts, together with funds from other providers. These accounts are managed securely on your behalf.

  • Your balance is safeguarded and not used to pay Skedy's own expenses or debts.
  • However, you do not earn interest on any funds held in your account.
  • By using Skedy's payment services, you agree that Skedy owns any interest that may be generated from these pooled accounts.

6.2. Our Right to Recover Funds (Set-off and Security Interest)

If you owe Skedy any money—for example, from fees, chargebacks, or disputes—we have the right to recover those funds.

  • You agree that we can use the money in your Skedy account to cover what you owe.
  • This includes the right to freeze your funds, deduct amounts owed , or instruct banks to freeze your account if needed.
  • You may be asked to sign additional documents to formalize this right.
  • If you do not repay when required, you are responsible for any collection costs , including legal fees and interest.

6.3. Inactive (Dormant) Skedy Accounts

If you don’t use your Skedy account or access your funds for a long time, your balance may be considered unclaimed or abandoned under the law.

  • We’ll notify you before taking any action and give you a chance to claim your funds
  • If you don’t respond, we may be required to send the money to the government or, where allowed, keep the funds until claimed.
  • This could happen if you haven’t processed any payments or linked a valid payout account for an extended period.

7. Chargebacks

7.1. Your Responsibility

If a customer disputes a payment made through Skedy (called a chargeback), you—the provider—are responsible for resolving it.

Chargebacks may happen when:

  • The customer didn't authorize the payment
  • The payment is challenged or reversed by the card network or bank
  • The transaction breaks rules or seems suspicious
  • There was a mistake in authorization

You agree to follow Skedy's chargeback resolution process and accept the outcome of the dispute.

7.2. Chargeback Collection and Fund Recovery

If a customer wins a chargeback, Skedy may hold the disputed amount in a reserve and delay payouts to you.

If the chargeback is finalized against you:

  • You must repay the full amount of the chargeback.
  • You'll also be responsible for any related fees, fines, or penalties.
  • We may deduct these amounts from your future payouts or your connected account (with your prior authorization).

7.3 Excessive Chargebacks

If your account receives too many chargebacks or we believe it's at risk, we may take additional protective actions, such as:

  • Delaying your payouts
  • Holding extra funds in reserve
  • Charging higher processing fees
  • Suspending your access to Skedy Payments
  • Skedy account termination

These measures are taken to protect Skedy, our payment partners, and the broader platform community from financial risk.

7.4. Contesting Chargebacks

When a consumer disputes a payment, the provider has the right to contest the chargeback—but it’s a time-sensitive process that involves banks, payment networks, and Skedy’s partners.

  • Skedy will notify you of the chargeback and request any necessary documentation (e.g., proof of service, communication history).
  • You are responsible for submitting all required information quickly and at your own expense.
  • You authorize Skedy to share this information with the consumer, banks, and card networks as needed.
  • Skedy may use content you’ve uploaded (like invoices or agreements) to help defend the chargeback on your behalf.
  • If the chargeback is resolved in your favor, we’ll return the disputed amount to your account.
  • If it’s not resolved in your favor—or if you fail to respond—we will recover the chargeback amount and any related fees from your balance.

We may also charge an additional fee for managing the dispute process, which we’ll inform you of in advance. Timely and complete documentation is key—missing deadlines or incomplete responses may result in permanent loss of funds.

8. Compliance with Network Rules and Laws

8.1 Restricted Use

Skedy's payment services are for your own business use only. You are not allowed to:

  • Resell or offer Skedy's payment tools to others
  • Act as a middleman or payment processor for someone else
  • Use Skedy to process cash advances or move funds on behalf of a third party

8.2. Unauthorized or Illegal Use

You must not use Skedy to process payments that are illegal or unauthorized.

  • We reserve the right to block or reverse any suspicious transactions
  • If we believe a transaction violates our terms or may cause harm (e.g., fraud), we may stop it immediately
  • If we suspect your account is being used for illegal activity, we may share your information with law enforcement or our payment partners to comply with the law

8.3. Assignment of Receivables

Unless required by law or part of an approved financing program, you may not transfer or assignyour expected payouts from Skedy (such as card payments or other receivables) to any other party. This helps maintain transparency and protects both your and Skedy’s financial interests.

8.4. Compliance with Card Network and Payment Rules

By using Skedy's Payment Services, you agree to follow the rules set by major card networks (such as Visa, MasterCard, and American Express), as well as our local payment partnerFlitt

Rules from these networks and partners may change over time. If that happens, Skedy may update its terms accordingly. If there’s ever a conflict between Skedy’s terms and the official rules of a card network or payment partner, their rules will take priority.

8.5. Taxes

As a Provider on Skedy, you are fully responsible for handling any taxes related to your services or sales, including income tax, VAT, or other applicable duties.

Skedy does not withhold or pay taxes on your behalf, but if legally required (such as under U.S. IRS rules or local Georgian regulations), we may report your transaction history to tax authorities.

For reporting purposes, thresholds are calculated based on the gross amount (before deductions like fees or refunds). You agree that your activities on Skedy involve transactions that may be considered “reportable” under applicable tax regulations.

8.6. Use of Payment Network Logos

You may display the official logos (marks) of payment networks (like Visa, MasterCard, etc.) only as allowed under their official rules.

These logos belong to the respective networks. You must not claim ownership or misuse them. Skedy or the networks may ask you to remove or change how you display these logos on your website or materials if they do not follow the required guidelines.

8.7. PCI Compliance

If you handle, store, or process credit card information using Skedy's payment tools, you must follow the Payment Card Industry Data Security Standards (PCI-DSS).

This means:

  • Keeping cardholder data secure,
  • Following card network rules,
  • Participating in security reviews or investigations if required by Skedy or its partners.

8.8. Failure to Follow Security Standards

You are responsible for following card network rules and PCI-DSS security standards when using Skedy’s payment tools.

That means:

  • Keeping your account secure (e.g., passwords, access),
  • Protecting customer card information.

If a security breach happens because you didn’t follow the rules:

  • You may be fined by card networks,
  • You must repay Skedy for any losses or penalties caused by the breach, whether it was your fault or your team’s.

9. Your Additional Obligations

9.1. Receipts

Providers may be required to provide a receipt to the customer upon request or as mandated by local legislation, payment provider rules, or Skedy policies.

9.2. Customer Service

Customer service related to your offerings is solely your responsibility as a Provider. While Skedy provides support for the platform and payment-related functionalities, you are fully responsible for managing all service-related matters. This includes handling your pricing, appointment scheduling, cancellations, returns, refunds, service quality, client communications, and feedback.

You must clearly identify yourself as an independent Provider, not an employee or representative of Skedy. Any issues regarding account access, platform usage, or payment processing on Skedy will be handled by Skedy's support team.

Refunds and Cancellations

Providers must clearly communicate their refund or cancellation policy to consumers before the service is confirmed. Skedy does not define or enforce refund rules—these are solely set and managed by the Provider.

If a refund is issued, it must not exceed the original payment amount and should include any applicable taxes. Refunds can only be processed for payments originally made through Skedy, and must be done using the platform’s supported tools. Transaction fees paid by consumers are generally non-refundable.

Skedy does not handle the return of any goods or services. Providers are fully responsible for managing disputes, cancellations, and any related customer issues.

9.4. Provider Commitments for Payment Processing

By using Skedy's payment services, Providers confirm the following for each transaction:

  • Legitimate Sales: Each payment reflects a real and valid service or product provided to the consumer.
  • Service Delivery and Support: Providers are responsible for delivering the promised service and resolving any complaints or disputes directly with the consumer.
  • Compliance: Providers agree to follow all applicable local laws, including tax and employment regulations.
  • No Self-Payments: Providers must not process payments using their own cards, except for testing with small amounts when setting up payment features.
  • No Internal Transfers: Payments cannot be made by or to company owners unless part of the regular service offering.

These commitments help maintain transparency, fairness, and legal compliance within the Skedy platform.

10. Termination of Payment Services

10.1 Termination of Payment Services

Skedy reserves the right to terminate your use of its Payment Services at any time, for any reason, with or without notice. This includes but is not limited to violations of our Terms of Use, fraud risk, or system abuse. Termination does not absolve you of any responsibility to pay outstanding fees, transaction costs, chargebacks, or other amounts owed to Skedy as defined under these Payment Terms.

10.2. Payment Services Upon Account Closure

Upon closing your Skedy account, any pending transactions will be canceled. Remaining funds—after deducting applicable fees, disputes, or other obligations—will be disbursed to your linked payout account according to your configured payout settings.

If there is an ongoing investigation at the time of closure (e.g., regarding fraud, chargebacks, or other disputes), we may withhold payouts until the matter is resolved. If the outcome is in your favor, Skedy will release the applicable funds promptly in line with the resolution.
